You authorize and grant the Company the right of processing your data for your usage of the system, include but not limited to reporting and analytics, billing, processing HR procedures, referring new customers and others.

As we limit data access to the internal employees, during support of your usage in OKRI you may need to furnish some information to ease troubleshooting. The data we asked should be relevant to troubleshoot and fix your issue in using OKRI. We take mechanism to proper handling your data, such as we’ve trained our support personnel to NEVER ask for your sensitive data such as password.

In the event you have a paid account, fees are non-refundable except as required by law or in the event that you cancel your account during the 30-day money back guarantee period. You will pay all applicable fees when due and, if such fees are being paid via credit card or other electronic means, you authorize us to charge such fees using your selected payment method. By default, customer accounts are set to auto-renew and we may automatically charge you for such renewal on or after the renewal date associated with your account unless you have cancelled the Service prior to its renewal date. We may revise fee rates for the Service from time to time and will provide you with email notice of any changes in fees at least thirty (30) days prior to your Service renewal date. You are responsible for providing complete and accurate billing information to OKRI. We may suspend or terminate your use of the Service if fees become past due. You are responsible for all taxes (excluding taxes on our net income), and we will charge tax if required to do so by law.

If you require the use of a purchase order or purchase order number, you (a) must provide the purchase order number at the time of purchase; and (b) agree that any terms and conditions on your purchase order will not apply and are null and void.

For paid accounts, we provide a satisfaction guarantee for all services. If you aren't satisfied for any reason, simply contact us within 30 days, and we'll be happy to issue a full refund. Kindly note, however, that we reserve the right to revoke refund privileges (on an individual basis) if we determine abuse of this policy has occurred.

You will designate and authorize either yourself and/or one or more individual users of the Service with authority to act on your behalf and to bind you and/or your business (each a “Payroll Administrator”), who may access the Service by entering a confidential email and password created by following the instructions provided via the Service and which will entitle them, depending on their designation and permissions given, to have authority to access, review, modify and/or provide approvals on your behalf. The Payroll Administrator will approve and submit the Payroll Information thereby authorizing OKRI to create and transmit forms and files necessary to process your payroll and statutory body transactions.

You will, and will cause your authorized users to, take reasonable steps to maintain the confidentiality of the authorization procedures and the email/password combination and related instructions provided by OKRI. If you believe or suspect that any such email/passwords or related instructions have been known or accessed by unauthorized persons, you will immediately notify OKRI in a manner affording OKRI a reasonable opportunity to act on the information, and you acknowledge that failure to immediately notify OKRI could result in unauthorized access to confidential information concerning you and your employees.

OKRI reserves the right to prevent access to the Service should OKRI have reason to believe the confidentiality of the security procedure or the confidentiality of the email/passwords have been compromised. You are responsible for any actions taken on the Service by your Payroll Administrator and/or any other authorized users, and for any transactions resulting from your failure to maintain the confidentiality of your account. You agree that the provision of a email/password by you, your Payroll Administrator and/or any other authorized users, will have the same effect as providing a written signature authorizing electronic payments, submissions and other actions on the Service.

OKRI will notify you via electronic communication or by other means when all data necessary to begin the Service has been received and the onboarding process has been completed. You shall then, prior to submitting your first payroll, review for completeness and accuracy the Payroll Information. For purposes of this Agreement, “Payroll Information” shall mean all information posted for your review on the Service such as, the information used to calculate and pay employee payroll, track your employee’s leave, payments of pcb/epf/socso in compliance with the laws and regulations of such statutory bodies. You must correct incorrect or missing Payroll Information, either by itself or by notifying OKRI in the manner specified in the electronic communication and within the time period specified therein. You are fully responsible for the accuracy of all information you provide, submit and/or approve, including, without limitation any penalties.

You agree that by submitting each payroll (including the first payroll): -

Final audit responsibility rests with you. OKRI will not have any responsibility for verifying the accuracy of any data you provide or directly input via the Service or any other method. OKRI may permit, but shall not be obligated to permit your Payroll Administrator or other a designated representative to communicate with OKRI by electronic mail or other means about the Service.

You acknowledge that any such electronic mail communication or other means of communication will be made available for your benefit and convenience, that any Payroll Information, Entries or other instructions communicated to OKRI will be deemed to have been fully authorized by you and you shall be fully responsible for the accuracy of such information including, without limitation, any tax or other penalties; and that, notwithstanding such deemed authorization, OKRI may in its sole discretion refuse to accept or act upon any such instructions.

OKRI, its employees and agents will hold in strict confidence all data furnished by you or produced by OKRI under this Agreement; provided, however, that such parties will not be held liable if such data is released through other sources, or if OKRI, its employees and agents release the data because of a reasonable belief that you have consented to such disclosure.

In order to use the Service, you must submit accurate salary/wage and payroll information to OKRI during the onboarding process. OKRI will not be liable for any penalty, interest or other liability that results from inaccurate or incomplete information you supply. The payroll information must be reconciled with your employee’s previous payslips or previous payroll information for the current tax year.

Thereafter, you shall timely and accurately update all wage and payroll information as necessary to reflect changes with additional information requested from time to time by OKRI. It is your responsibility to submit complete and accurate information to OKRI and to remit the fees due in connection with the Service. Any penalty incurred due to late remission of payment or inaccurate information provided by you will be your sole responsibility.

You further agree to hold OKRI harmless from such liability. OKRI, at its option, may decide not to submit your payroll monthly or yearly forms, make payments to the various statutory bodies, or otherwise process your payroll if there are any unresolved problems with any information requested by OKRI or submitted by you.

In order to use and/or access certain OKRI Services, you may direct OKRI to retrieve and manage your own information maintained online by a third-party institution such as payroll companies or health insurance companies -- with which you have customer relationships, maintain accounts or engage in financial transactions (“Account Information”). We will then connect directly with your online service providers to access this Account Information. At your direction, we may also open accounts on your behalf at third-party institutions and make changes on your behalf with third-party sites and services.

When importing your information from third-party institutions, we make no effort to review the Account Information for any purpose, including but not limited to accuracy, legality or non-infringement. We are not responsible for the products and services offered by or on third-party sites.

By submitting information, data, passwords, usernames, PINs, other log-in information, materials and other content through the OKRI Service, you are licensing that content to us solely for the purpose of providing the OKRI Service. We may use and store the content, but only to provide the OKRI Service to you. By submitting this content to us, you represent that you are entitled to submit it to us for use for this purpose, without any obligation by us to pay any fees or other limitations.

Although OKRI monitors the information on the Site, some of the information is supplied by independent third parties. While OKRI makes every effort to ensure the accuracy of all information on the Site, OKRI makes no warranty as to the accuracy of any such information.
